IMPORTANT NOTICE – PLEASE READ CAREFULLY
These Terms of Services (hereinafter “Terms” or “ToS”) contain important provisions that affect your legal rights, including eligibility requirements, mandatory age verification, subscription renewal terms, limitations of liability, and dispute resolution procedures.
These Terms also include an arbitration agreement and class action waiver, which apply only to the extent permitted by applicable law. By accepting these terms, you may be waiving your right to a jury trial or to participate in a class or representative action, where such waivers are enforceable.
5. Eligibility, Geographic Restrictions, and Age Verification
12. Creator Content; Relationship Between Creator and the Platform
These Terms constitute a binding agreement between you and one of the following entities:
1.1. Tropical Sun Corp, a Delaware corporation, for Users in the United States, Canada and Latin America; and
1.2. Tropical Sun Ltd, a company incorporated in Cyprus, for all other countries
For purposes of these terms, the entities listed above are referred to individually and collectively as “Clips4Sale +”, “C4S +”, “we”, “our”, or “us”.
These terms together with any documents they incorporate by reference, govern your access to and use of Clips4SalePlus.com, including any content, functionality, and services offered on or through the Platform.
The following policies are incorporated and form part of these terms:
3.1. Please read these Terms carefully before using the Platform. By accessing or using the Platform, purchasing a subscription, or clicking to accept or agree to these Terms when this option is made available, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
3.2. You may stop using the Platform at any time and for any reason. Ceasing use does not itself terminate your subscription; termination of an active, auto-renewing subscription is addressed in Section 3.3. Any obligations accrued prior to cessation (including fees incurred) will survive in accordance with these Terms.
3.3. You may cancel and thereby terminate your subscription at any time.
3.4. We will not require any steps beyond those reasonably necessary to verify your identity and process your request.
3.5. Unless otherwise required by applicable law or expressly stated at purchase:
3.6. (a) Paid memberships: cancellations take effect at the end of the then-current billing period; you will continue to have subscription access through that date and will not be charged for any subsequent period.
3.7. (b) Free trials: cancellation prior to the trial end prevents conversion to a paid membership; if you do not cancel before the trial ends, the membership will renew and bill automatically as disclosed at sign-up.
3.8. (c) Immediate termination option: you may request immediate termination; if granted, access ends immediately and fees already paid are non-refundable except where a refund is required by applicable law or our posted refund policy.
3.9. Upon the effective date of cancellation/termination: (i) your subscription access to member-only streaming content ends; (ii) any Paid Downloads previously purchased (if offered) remain available in your library subject to the license and these Terms; and (iii) your account may remain active for non-subscription features unless you separately request account deletion according to Section 6.5, herein (which is permanent and may remove access across our ecosystem).
3.10. You will not incur any penalty or cancellation fee for terminating your subscription, other than charges properly due for the current billing period (and any amounts otherwise outstanding) in accordance with these Terms.
3.11. If applicable law (e.g., certain EEA/UK consumer rules) affords you a statutory right of withdrawal for digital services, you acknowledge and agree that service begins immediately upon access, and you may lose the withdrawal right once performance begins; this does not affect your ongoing right to cancel renewal at any time for future periods.
In these terms of service, the following definitions apply:
“Platform” means Clips4SalePlus.com and any related applications, tools, features, or services operated by us.
“Clips4Sale ecosystem” means Clips4Sale.com, Clips4SalePlus.com, and any other websites, applications, or services operated or controlled by us that are expressly designated as part of the Clips4Sale brand or network.
“User” means any individual who accesses or uses the Platform, whether as a Creator, a Customer, or both (also referred to as “you” or “your”).
“Creator” means a User who has configured a C4S+ account to upload, post, or make Content available to Customers through the Platform, whether on a pay-per-view, subscription, or other permitted basis.
“Customer” means a User who accesses or views Content through the Platform, including through a subscription or other permitted access method.
“Content” means any material uploaded or otherwise made available on the Platform by Creators, including without limitation videos, images, audio, livestream material, text, and user-supplied metadata.
“Subscription Content” means Content which is designated to be included in Platform’s subscription bunch.
“Upload” means to publish, post, transmit, display, or otherwise make Content available on or through the Platform.
“Store” means a Creator’s designated storefront or profile page on the Platform through which the Creator offers Content to Customers.
Capitalized terms not defined here are defined where first used.
The Platform is available only to individuals who meet all of the following criteria:
By accessing or using the Platform, you represent and warrant that all of the above statements are true.
By accessing the Platform, you further represent and warrant that:
If any of these representations are untrue, you must not access or use the Platform. You are solely responsible for ensuring that your use of the Platform is lawful in your jurisdiction.
We are committed to protecting minors from exposure to harmful or age-inappropriate content.
Access to sexually explicit material on the Platform is conditional upon successful age verification.
Age verification may be conducted using one or more of the following methods:
We reserve the right to require age verification or re-verification at any time, including on a periodic basis or in response to compliance requirements, risk signals, account changes, suspected misuse, technical issues, or other circumstances we deem appropriate. You agree to promptly comply with any request for age verification or re-verification as a condition of continued access to the Platform.
If age verification cannot be successfully completed or confirmed:
Any attempt to misrepresent age or identity, or to bypass or interfere with age-verification processes, is strictly prohibited and may result in permanent account termination.
You may access and use the Platform by either:
Use of the Platform does not require you to have an existing clips4sale.com account. However, where we enable cross-property functionality, your account credentials, age-verification status, wallet balances, account standing, and related account information may be shared across the Clips4Sale ecosystem, in accordance with our Privacy Policy.
If you choose to sign in using an existing Clips4Sale.com account, you acknowledge and agree that your account information and verification status from that platform may be relied upon for purposes of accessing the Platform, subject to any additional verification or security checks we may require.
Your account may reflect states such as Active, Trial, Expired, Pending Expired (Grace Period), Paused, or Cancelled. Your access to the Content and other features depends on your current state, your payment status, and compliance with these terms and incorporated policies.
You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Your account is personal to you. You must not share your account or provide any other person access using your credentials. We may implement account-sharing prevention measures, including IP/device/session-based limits or other access controls, and may restrict, suspend, or terminate access where we reasonably believe an account is being shared or abused. You must promptly notify us of any unauthorized access to or use of your account or any other security breach and ensure you log out at the end of each session, especially on shared devices.
We support secure password reset procedures and may support email-correction workflows, including post-purchase or post-subscription flows, subject to verification of account ownership, security checks, and fraud-prevention controls.
You may request deletion of your account through the methods we provide (including contacting support where required). You will lose access to any subscription entitlements and any purchased or retained items in your library (if applicable). This action cannot be undone. After deletion, we may handle associated data in accordance with our Privacy Policy and applicable law.
We may disable, suspend, restrict, or terminate any username, password, account identifier, or access credential, whether chosen by you or provided by us, at any time, including where we reasonably believe that:
Account suspension or credential disabling may occur with or without prior notice, and may result in immediate loss of access to the Platform, Subscription Content, or account features. Any such action does not relieve you of payment obligations accrued prior to suspension, except where required by law.
We may communicate with you through electronic means, including but not limited to email, messages delivered to your account, in-Platform notifications, or notices posted on the Platform.
Such communications may include, without limitation:
You must provide and maintain a valid, current email address associated with your account. You acknowledge and agree that any notice, disclosure, or communication sent to the email address on file will be deemed received by you at the time it is sent, regardless of whether you actually receive, open, or read the message.
Certain important notices may be delivered directly to your account or displayed within the Platform, including through banners, pop-ups, dashboards, or in-account messages. You are responsible for regularly checking your account and the Platform for such notifications.
You may opt out of non-essential communications, such as marketing or promotional emails, by following the unsubscribe instructions included in those communications.
You may not opt out of essential communications relating to your account, subscriptions, payments, security, age verification, legal notices, enforcement actions, or changes to these terms or incorporated policies.
You are responsible for keeping all contact information associated with your account, including your email address, accurate, complete, and up to date. We are not responsible for any missed notices, delays, losses, or consequences resulting from outdated, inaccurate, or inaccessible contact information.
We may offer membership plans including free trials (typically 7 or 14 days, single-use), monthly and yearly memberships, and may pilot additional plan durations or regional variants. Free trials are limited to one per User (or per household or payment method) and may be subject to validation measures, including email and payment-method verification, to prevent abuse.
If you sign up for a free trial, you must provide a valid payment method. Unless you cancel before the trial expires, your membership will automatically convert to a paid membership at the then-current rate, and your selected payment method will be charged at the end of the trial period.
While your membership is current and valid, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to stream content that is designated as included in C4S+ (the “Subscription Content”) within the Platform for your private, non-commercial use, subject to these Terms, incorporated policies, and any geo-availability or catalog/lifecycle constraints stated below. Subscription access does not include ownership of any Content.
If a renewal payment fails, we may (but are not required to) provide a short grace period (for example, up to two (2) days) during which you may retain limited access while you update your payment details. If payment is not successfully completed by the end of the grace period, your membership may move to an Expired (or similar) state and access may be suspended or terminated.
Where available, you may pause your membership once per billing cycle for up to one (1) month. During a pause, recurring charges are suspended and access may be limited or adjusted as described in the user interface or account settings. Additional pause limits or eligibility requirements may apply based on plan type, region, or prior usage.
7.5.1. You may cancel your membership at any time to stop future charges. Cancellation takes effect at the end of the then-current paid billing period, unless mandatory consumer law provides otherwise. Where available, we provide an online self-service “click-to-cancel” mechanism that is accessible through your account settings.
7.5.2. After cancellation takes effect, you will lose access to Subscription Content. Cancellation does not entitle you to any refund or credit for unused time, except where required by law or expressly approved by us in writing.
7.6.1. Except where required by law or expressly stated by us in writing, membership fees and related charges are non-refundable. This includes situations where access is denied or restricted because you fail to complete age or identity verification, or where your account is suspended or terminated due to violations of these terms or incorporated policies.
7.6.2. We may, in our discretion, extend membership time or issue account credits to resolve support or technical issues, but we are not obligated to do so.
8.1.1. Pricing may vary by plan, currency, geography, promotions, and other factors, and may change over time. Taxes, duties, and surcharges may apply and may be added at checkout or renewal where applicable.
8.1.2. All charges are processed in the currency displayed at checkout. Your payment provider or financial institution may apply currency conversion fees, foreign transaction fees, or other charges over which we have no control.
Payments are processed by third-party payment processors (including, for example, Centrobill or other providers we may use from time to time). We may support tokenized “1-click” payments and, where enabled, a wallet feature that may be shared across the Clips4Sale ecosystem. If wallet is enabled, you may be able to set wallet as the primary payment method with a card or other method as fallback, subject to availability and processor requirements.
8.3.1. Memberships renew automatically until cancelled. By purchasing a membership, you expressly authorize us to charge your selected payment method at the start of each billing cycle, for the same duration as your existing membership term (for example, monthly or yearly), at the then-current rate, unless and until you cancel in accordance with these terms.
8.3.2. We may change membership pricing from time to time. Any change to pricing will apply no earlier than the start of your next billing cycle following the effective date of the change and will not apply retroactively or affect any billing period for which you have already paid. Where appropriate, we may notify you in advance of a pricing change. If you do not agree to the updated price, you may cancel your membership before the next renewal to avoid being charged at the new rate. Continued use of the membership after the effective date of a pricing change constitutes acceptance of the updated price.
8.3.3. Where appropriate, we may send renewal or rebill reminders, including information about upcoming charges and instructions on how to cancel. If a rebill attempt fails, we may retry the payment using the same or an authorized fallback payment method and may apply the grace period described in Section 7.3 while you update your payment information.
8.3.4. We reserve the right to correct billing errors, including incorrect prices displayed due to technical or administrative issues, and to adjust charges or membership entitlements where reasonably necessary to address such errors or resolve support issues.
8.4.1. Where enabled, you may preload funds into a wallet or use wallet credits within the Clips4Sale ecosystem. Wallet funds and credits are non-refundable, non-transferable, and have no cash value outside the Clips4Sale ecosystem, except where required by law.
8.4.2. Wallet balances may be used for membership renewals or other purchases where supported. If your wallet balance is insufficient to cover a renewal or charge, and you have authorized a secondary payment method, we may charge that fallback method to complete the transaction.
8.4.3. If your account is suspended or terminated, or if you close your account, you may lose any remaining wallet balance, except where required by applicable law.
8.4.4. Wallet funds, prepaid credits, and similar stored-value balances do not constitute a bank account, deposit, or personal property right and do not accrue interest.
8.4.5. Unless expressly stated otherwise at the time of issuance, wallet funds and prepaid credits do not expire. Promotional or bonus credits may expire, be revoked, or be subject to additional conditions, which will be disclosed at the time of the promotion.
8.4.6. Refunds of wallet funds or prepaid credits are not provided, except where required by applicable law or where we expressly approve a refund in our sole discretion.
8.5.1. With your consent (or where otherwise permitted), customer support may take actions to resolve account or billing issues, such as applying membership extensions, reversing duplicate charges, or issuing credits through our internal systems.
8.5.2. Any refunds or credits we approve will be processed using the methods and tools we determine and may be subject to verification, eligibility checks, and fraud-prevention controls. The issuance of a refund or credit in one instance does not entitle you to refunds or credits in the future under similar circumstances.
8.6.1. If you believe you have been charged in error, you must notify us promptly through customer support and provide sufficient detail to allow us to investigate and resolve the issue.
8.6.2. You agree not to initiate chargebacks or payment disputes in bad faith. Excessive, abusive, or fraudulent chargebacks may result in suspension or termination of your account, loss of access to the Platform, and restriction from future purchases or subscriptions. To the extent permitted, we reserve the right to recover any fees, penalties, or losses incurred as a result of such chargebacks.
9.1.1. Your membership provides streaming-only access to Subscription Content during your active membership term. Users are not permitted to download Subscription Content, and we do not grant any license or right to download, store, copy, record, redistribute, or otherwise retain Subscription Content outside of the Platform.
9.1.2. We may use technical protection measures, including digital rights management (DRM), session controls, watermarking, and access validation mechanisms, to enforce these restrictions. Any attempt to circumvent such measures constitutes a material breach of these terms.
9.1.3. Streaming quality, resolution, and start times may vary based on device, bandwidth, network conditions, and service load. Previews/thumbnails may be auto-generated; short-form previews or trailers do not guarantee a specific presentation or runtime. Service and title availability may be temporarily interrupted for maintenance or for reasons beyond our control.
9.2.1. The availability of specific Content may change at any time. We may add, remove, rotate, restrict, or replace Content for legal, compliance, licensing, moderation, performance, operational, or business reasons.
9.2.2. We do not guarantee that any particular item of Content will be available for any minimum period unless expressly stated in writing. Content removal may occur even during an active membership and does not entitle you to a refund or credit, except where required by law.
We may display informational badges, labels, or indicators (such as “Included,” “Just Added,” “Leaving Soon,” or similar) to communicate Content status or availability. Such indicators are provided for convenience only and may be inaccurate, delayed, or changed at any time. They do not create contractual rights or guarantees regarding Content availability.
9.4.1. We may use automated systems, including artificial intelligence tools, to generate, suggest, or enhance titles, thumbnails, descriptions, tags, previews, categorization labels, and other metadata associated with Content for purposes such as discovery, indexing, search, recommendation, accessibility, and trust and safety operations.
9.4.2. Any such metadata is ancillary, technical, and descriptive only and does not alter, create, script, stage, direct, or produce the underlying Content. The use of automated or human-assisted metadata tools does not make us a producer, co-producer, creator, publisher, or editor of any Content, nor does it constitute participation in the creation or development of Content.
9.4.3. Automated outputs may contain errors, omissions, or inaccuracies. We do not guarantee the accuracy, completeness, or suitability of any metadata and may update, correct, remove, or replace metadata at any time, with or without notice, including through human review.
9.4.4. Responsibility for Content, including legality, accuracy, consent, age verification, record-keeping, and compliance with applicable laws and Platform policies, remains solely with the applicable Creator or rights holder.
Some Content, features, or membership offerings may be unavailable in certain locations due to legal restrictions, rights limitations, or compliance requirements. We may geo-block or restrict access accordingly. You must not use VPNs, proxy servers, or similar technologies to circumvent geographic restrictions.
We do not guarantee the availability, continuity, or retention of the Platform, any specific Content, Creator, category, feature, functionality, or service for any period of time.
Without limitation:
The removal, unavailability, or modification of any Content, Creator, feature, or service—including during an active membership period—does not constitute a breach of these terms and does not entitle you to any refund, credit, or compensation, except where required by applicable law.
Subject to your compliance with these terms and incorporated policies, and while your membership is active, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and stream Subscription Content through the Platform for your private, non-commercial use.
This license does not convey ownership of any Content or intellectual property and automatically terminates when your membership expires, is cancelled, or your account is suspended or terminated.
You must not, and must not attempt to:
Violation of these restrictions may result in immediate suspension or termination of your account and may expose you to legal liability.
Certain playback features, casting options, or device integrations may rely on third-party technologies. Availability may vary by device, operating system, browser, region, or third-party support. We are not responsible for third-party services and disclaim liability arising from their availability or performance, to the extent permitted by law.
You must not upload, post, transmit, request, or distribute illegal content or engage in illegal activity through the Platform. We maintain a zero-tolerance policy for child sexual abuse material (CSAM) and will report suspected CSAM to appropriate authorities and comply with lawful requests for information.
You must not harass, threaten, impersonate, dox, or otherwise abuse other Users, Creators, staff, or third parties. You must not use the Platform to solicit illegal services, promote unlawful conduct, or distribute links that facilitate such conduct.
You must not probe, scan, or test the vulnerability of our systems; attempt to bypass technical measures or content protections; introduce malware; interfere with Platform operations; or attempt unauthorized access to accounts, servers, or databases.
12.1.1. A Creator is a User who has configured an account to upload, post, or make Content available to Customers through the Platform, including via subscription access, and a Store is the Creator’s designated storefront/profile page on the Platform.
12.1.2. The Platform may provide tools to allow Creators to manage their Store, including uploading Content, setting availability, and maintaining profile information. We may modify, suspend, or discontinue Creator tools or Store features at any time.
12.2.1. Creators (and any performers, producers, studios, agents, or other third parties engaged by Creators) are independent third parties. Nothing in these terms creates an employment relationship, partnership, joint venture, agency, franchise, or fiduciary relationship between the Platform and any Creator in any jurisdiction.
12.2.2. Creators are solely responsible for: (i) their business operations; (ii) paying all taxes, fees, and charges applicable to their activities; (iii) compensating performers and collaborators; and (iv) obtaining any permits, licenses, or registrations required for their activities.
12.2.3. Creators have no authority to bind the Platform, and may not represent that they do.
12.3.1. By uploading Content, the Creator requests that the Platform host, process, display, and make the Content available to Customers. Hereby you agree that your Content is not confidential, and you authorize Customers to access and view your Content on the Platform for their own lawful and personal use, and in accordance with any licenses that you grant Customers.
12.3.2. You are responsible for all Content you upload to the Platform. If you are a Creator and someone else assists you with operating your Store, this does not affect your legal responsibility. Our relationship is with you and not with any nonparty, and you will be responsible for ensuring that all Content Uploaded to the Platform and all use of your account complies with these terms of service.
12.3.3. The Platform may subject Content (and any related metadata) to pre-publication review and may delay publication pending verification, quality checks, trust-and-safety review, legal/compliance review, or operational requirements. We may also remove, restrict, or refuse to display Content at any time consistent with our policies and applicable law.
12.3.4. The Platform is not obligated to host, display, or continue to make available any Content, any Creator, or any Store, and presentation or availability may change for rights, moderation, compliance, or operational reasons.
12.4.1. The Creator grants the Platform a perpetual, nonexclusive, worldwide, royalty-free, transferable, sublicensable license to your Content that allows us to perform any act necessary to operate the Platform and our related products and services. This includes reproducing, making available or displaying to the public, distributing, creating derivative works, and otherwise using your Content, including for improving the features and functionalities of the Platform and our related services, as well as for training and enhancing our AI systems and models solely for content moderation purposes. This license also includes our right to use, in connection with promoting the Creator or the Creator’s Store, any name, username, voice, image, or likeness provided with the Content, and to do so in all media or distribution methods now known or later developed. Except as required by law, you hereby waive any moral rights that you have under any law to object to the treatment of your Content.
12.4.2. While we do not own the Creator’s Content, Creator hereby grants Platform a limited right to submit notifications of infringement (including of copyright or trademark) on your behalf to any nonparty website or service that hosts or is otherwise dealing in infringing copies of your Content without your permission. We may submit or withdraw any such notification to any nonparty website or service where we consider it appropriate to do so. But we are not required to police infringements of your Content. If we request, you must promptly provide us with all consents and other information that we reasonably need to submit notifications of infringement for you.
12.4.3. We will not sell the Creator’s Content to other platforms. However, in the event of a sale of C4S+ or its assets, any licenses you have granted us may be transferred.
12.4.4. For each item of Content you upload to the Platform, you state that the following facts are accurate:
12.4.5. Creator(s) are liable to and shall indemnify Clips4Sale+ if any of the above statements are untrue. This means you will be responsible for any resulting loss or damage we suffer.
12.4.6. We are not responsible for, do not control, and do not endorse any Content you or any other User Uploads. We have no direct control over what your Content may comprise and are not obligated to pre-screen Content. We reserve the right to pre-screen, monitor, or reuse Content. We reserve the right to remove Content that violates these terms of service.
12.4.7. Creator(s) must act as custodian of records for all Content you Upload to the Platform.
As stated above, Creator are responsible for all Content which he/she uploads. Creator may upload Content that features someone other than you (“Co-Authored Content”).
If you Upload Co-Authored Content, you state that each individual in Co-Authored Content you Upload is either (1) a Creator you have tagged using the tool available on the Platform or (2) an individual at least 18 years of age whose proof of identity and whose written, informed consent you have obtained to share the Content on the Platform; (3) all the persons depicted in the content give their consent for each act of sexual activity in which the individual engaged during the creation of the Content.
You and each Co-Author must provide us with the necessary documents to confirm you have satisfied the requirements of these terms of service.
If you, or anyone appearing in Co-Authored Content, do not provide any information we request, we may restrict or delete the Co-Authored Content or your account and withhold any portion of your Creator Earnings.
We are not a party to any agreement that you have to create Co-Authored Content or any resulting dispute. All claims arising from Co-Authored Content must be made against the Creator(s) who Uploaded or who appeared in the Co-Authored Content. You must not make any claims against us, and you hereby release us from any claims against us, arising from Co-Authored Content.
Any individual(s) who appear in the Co-Authored Content may withdraw their consent to appear in that Co-Authored Content. Co-Authored Content may be deleted where a participant withdraws consent.
12.6.1. The Creator expressly authorizes the Platform, in its discretion, to create, draft, modify, translate, shorten, reformat, or otherwise adjust titles, thumbnails, descriptions, tags, categories, previews, and other metadata associated with Content for purposes such as discovery, indexing, search, recommendation, accessibility, and trust-and-safety operations (including by human review and/or automated tools).
12.6.2. Any measures described in Section 12.5.1 are ancillary, technical, and descriptive and do not script, stage, direct, produce, or alter the underlying Content itself.
12.6.3. The Platform may update, correct, remove, or replace metadata at any time. The Creator remains responsible for the legality of the Content and for ensuring the Creator has rights to all materials used (including any text the Creator submits as metadata).
12.7.1. The Platform may request documentation reasonably necessary to verify compliance with this Section 12 (including performer consents/releases and age/identity records), and the Creator will respond promptly and accurately.
12.7.2. The Platform may restrict visibility, remove Content, suspend payouts (if applicable), or terminate Creator access for suspected or actual violations, including where we believe continued availability increases legal, safety, or reputational risk.
12.7.3. The Creator acknowledges that Content availability and presentation may change for rights, moderation, compliance, or operational reasons.
12.8. To the maximum extent permitted by law, the Creator will defend, indemnify, and hold harmless the Platform and its affiliates, directors, officers, employees, agents, and service providers from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) the Content; (b) any alleged breach of Section 12; (c) failure to obtain or maintain required consents/releases/records; (d) disputes with performers, collaborators, or rights holders; and (e) any violation of law by the Creator in connection with the Platform.
12.9. The Platform may include Content provided by Creators or studios within the Clips4Sale ecosystem. Creators are solely responsible for their Content. We do not endorse Creator Content, and availability or presentation may change due to rights, moderation, compliance, or operational decisions.
12.10. The Platform may interoperate with clips4sale.com for account login, age verification, wallet functionality, or related ecosystem features. Subscription access on the Platform is governed solely by these terms and does not guarantee access to any specific Creator’s Content.
13.1. All Creator Content made available on C4S+ as part of the subscription offering may be monetized through the Platform’s subscription model. Revenue generated from C4S+ subscriptions is pooled and distributed to eligible Creators based on the Platform’s payout methodology, which takes into account multiple factors, including, without limitation, how much C4S+ members watch the Creator’s Content. Creator earnings under C4S+ are therefore based on subscriber consumption of Content across the service and are not tied solely to an individual sale or a fixed pay-per-view transaction.
13.2. Creator payouts under C4S+ are revenue-share payments only. They are not wages, salaries, guaranteed minimums, advances, retainers, trust funds, or deposits held for the benefit of the Creator. No payout is earned unless and until the applicable subscription revenue has been received by us and is no longer subject to refund, chargeback, reversal, fraud review, processor reserve, compliance hold, or similar adjustment.
13.3. C4S+ operates as a premium subscription streaming service. Subscription revenue received by the Platform for the applicable earning period is pooled and then allocated among eligible Creators in accordance with the Platform’s then-current payout methodology. That methodology may take into account multiple factors, including but not limited to verified watch time, viewing activity, engagement patterns, subscriber plan type, promotional or discounted subscription pricing, taxes, payment processing costs, refunds, credits, chargebacks, fraud prevention adjustments, reserves, and other customary or reasonably necessary deductions and adjustments.
13.4. A Creator benefits from member watch time on the Creator’s videos. The more eligible watch time or other qualifying consumption generated by a Creator’s Content on C4S+, the greater the Creator’s potential share of the revenue pool, subject always to the Platform’s payout rules, deductions, adjustments, and verification measures. The Platform may define and measure qualifying watch time, qualifying views, or other qualifying consumption events using its internal systems and reasonable business rules.
13.5. C4S+ earnings are calculated and paid on a monthly cycle, subject to any applicable reconciliation period, reserve, minimum payout threshold, payment processing timeline, tax documentation requirement, account verification requirement, or compliance hold. Any earnings shown in dashboards, reports, or account summaries before final reconciliation are estimates only and remain subject to review, correction, adjustment, withholding, offset, or reversal.
13.6. Unless the Platform expressly provides otherwise for a particular feature, pilot, category, or setting, Content made available by a Creator on C4S+ forms part of the subscription catalog and may participate in the C4S+ monetization model. Earnings generated through C4S+ are separate from, and may be additive to, earnings from individual store sales or other monetization channels within the Clips4Sale ecosystem, provided that the Platform may determine in its discretion how a particular access event, stream, or transaction is attributed for accounting, technical, promotional, anti-fraud, or operational purposes.
13.7. The Platform’s books, records, systems, analytics, and internal measurements shall control for purposes of determining subscription revenue, pool allocation, watch time, qualifying activity, payout eligibility, deductions, and payout amounts, absent manifest error. We may exclude, disregard, withhold, adjust, or reverse any payout associated with activity that we reasonably determine to be artificial, invalid, fraudulent, abusive, manipulated, duplicative, bot-generated, incentivized in breach of these Terms, or otherwise inconsistent with legitimate subscriber consumption.
13.8. The Creator acknowledges that Content made available on C4S+ may remain available on C4S+ for a minimum period of ninety (90) days, even if removed from the Creator’s Store, except where earlier removal is required for DMCA, policy, legal, trust and safety, consent, or compliance reasons. During such period, the Content may continue to be accessible to subscribers and may continue to participate in the C4S+ earnings pool, if otherwise eligible under these Terms.
13.9. Without limiting any other right under these Terms, we may withhold, offset, claw back, reverse, reduce, or forfeit Creator payouts or accrued earnings in connection with refunds, chargebacks, duplicate payments, fraud, invalid traffic, policy violations, infringement claims, performer disputes, tax withholding obligations, legal compliance issues, missing records, or any losses, liabilities, costs, or damages for which the Creator is responsible under these Terms.
13.10. The Platform does not guarantee any minimum number of views, any minimum watch time, any minimum level of earnings, or any minimum payout to any Creator. Earnings depend on actual member consumption of Content on C4S+, the total subscription revenue pool for the relevant period, and the Platform’s then-current payout methodology, as applied under these Terms.
14.1. Creators are responsible for managing their own Tax obligations. We are not (1) responsible for advising you on Tax matters or liable for any general Tax information provided on the Platform or by our support team or (2) liable for any Creator’s failure to pay Taxes.
14.2. By using the Platform as a Creator, you state that you have reported, and will report in the future, all payments received in connection with your use of the Platform to the relevant Tax authority in your jurisdiction, as required by law.
14.3. If, while holding a Clips4Sale ecosystem account, you become Tax non-compliant regarding your use of the Platform, or if you are involved in any litigation, inquiry, or investigation related to Tax non-compliance, we may close your account, restrict payouts, or restrict earnings from your account.
14.4. If you are a Creator registered in an EU country or the UK, you must adhere to the VAT rules that apply.
14.5. You are solely responsible for ensuring that you file the necessary Tax returns and pay any Taxes due on your earnings from Clips4Sale ecosystem. Failure to meet your Tax obligations may result in your Clips4Sale ecosystem account(s) being closed or suspended.
15.1. We are committed to maintaining a positive and respectful community and do not tolerate inappropriate Content or misconduct. We employ AI systems and models to assist in the moderation and review of Content before it is published on the Platform. This includes automated tools designed to detect and remove Content that might violate our Acceptable Use Policy, Content Rules, NCC Policy, CSAM Policy, or applicable law. However, while these AI tools enhance our ability to manage Content efficiently, they are not infallible and might result in errors, including false positives or negatives.
15.2. To address these limitations, content moderation will also involve human review to ensure that decisions align with our policies and legal obligations. We encourage Users to report any Content they believe is inappropriate or violates our policies using our Complaints Policy. We will investigate all reported Content and may take appropriate action, which could include removing Content, suspending or deleting accounts, or other corrective measures.
15.3. Despite our efforts to ensure accurate content moderation, we are not liable for any errors or omissions in the moderation process. Users acknowledge and accept that some inappropriate Content might not be detected immediately, and we rely on community reports and ongoing improvements to our AI systems and models to address these issues.
15.4. We may take one or more of the following actions in connection with our monitoring of the Platform:
15.5. Post-Investigation Actions. After investigating the suspected noncompliance or unlawfulness of any Content or your account, we may take any action we consider appropriate, including reinstating access, permanently removing or disabling access to Content, or deleting your account. We may treat any part of your Creator Earnings as forfeited and may refund or cancel Customer Payments if we determine that a breach or suspected fraudulent activity has occurred. We may use any part of your Creator Earnings to offset any harm or loss we suffer as a result of your breaches of these terms of service (including our Acceptable Use Policy, Content Rules, NCC Policy, or CSAM Policy). We will notify you of any such action and provide a statement of reasons.
15.6. Right to Dispute. You may dispute a Creator Earnings forfeiture decision by following our Complaints Policy and dispute an account termination or Content deactivation decision by following our Appeals Policy. If you do not dispute our decision within six months after we notify you of our decision, you waive your right to dispute that decision. In certain jurisdictions, you may be entitled to bring a claim against us for breach of contract where we remove or restrict access to your Content or the Platform in breach of these terms of service.
15.7. Post-Termination Content Access. On termination of your account, we may deal with your Content in any appropriate manner in accordance with our Privacy Policy, including by deleting it. You will no longer be able to access your Content, and there is no technical facility on the Platform that allows you to retrieve your Content after your account has been terminated (or deleted).
15.8. No Refunds for Termination. If your account is terminated for violating these terms of service (including our Acceptable Use Policy, Content Rules, NCC Policy, or CSAM Policy), any Customer Payments will not be refunded.
15.9. Without limiting the above, we may cooperate with any law enforcement authorities or comply with a court order requesting or directing us to disclose the identity or other information of anyone Uploading Content on or through the Platform. We will report any Content that could be considered child sexual abuse material (CSAM) to the National Center for Missing and Exploited Children’s CyberTipline and any other legal and regulatory bodies in accordance with our CSAM Policy.
15.10. Despite the above, we have no liability or responsibility to anyone for the performance or nonperformance of the activities described above. You hereby waive, and you shall indemnify us and our affiliates, licensees, and service providers against, any claims resulting from any action taken by any of the preceding parties during, or because of, investigations by either those parties or law enforcement authorities.
16.1. To comply with applicable regulations, including the EU Digital Services Act (DSA), we commit to publishing an annual transparency report. This report will include:
These reports will be made publicly available on the Platform.
If you believe that any Content violates your copyright, please see our DMCA Policy for instructions on sending us a notice of copyright infringement. Clips4Sale’s policy is to terminate repeat infringers’ User accounts.

18.2. This Platform includes Content provided by Creators. 21.6. We may disable any social media features and any links without notice.
If the Platform contains links to other sites and resources provided by nonparties, these links are provided for your convenience only. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that might arise from your use of them. If you decide to access any of the nonparty websites linked to this Platform, you do so entirely at your own risk and subject to the terms for those websites.
23.1. To the extent provided by law, we will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses, or other technologically harmful material that might infect your computer equipment, computer programs, data, or other proprietary material due to your use of the Platform or any services or items obtained through the Platform or to your downloading of any material posted on it, or on any website linked to it.
23.2. Your use of the Platform, its content, and any services or items obtained through the Platform is at your own risk. The Platform, its content, and any services or items obtained through the Platform are provided “as is” and “as available,” without any warranties, either express or implied. Neither Clips4Sale+ nor any person associated with Clips4Sale+ is making any warranty regarding the completeness, security, reliability, quality, accuracy, or availability of the Platform. Without limiting the preceding, neither Clips4Sale+ nor anyone associated with Clips4Sale+ is making any warranty (1) that the Platform, its content, or any services or items obtained through the Platform will be accurate, reliable, error-free, or uninterrupted, (2) that defects will be corrected, (3) that our Platform or the server that makes it available are free of viruses or other harmful components, (4) that we will host, make available, or remove any specific item of Content, (5) that any geo-filtering or digital rights management solution that we offer will be effective, (6) that we will continue to support any particular feature or maintain backward compatibility with any third-party software or device, or (7) that the Platform or any services or items obtained through the Platform will otherwise meet your needs or expectations.
23.3. To the extent provided by law, Clips4Sale+ is not making any warranty, whether express or implied, statutory, or otherwise, including but not limited to any warranty of merchantability, noninfringement, and fitness for a particular purpose.
24.1. To the extent provided by law, in no event will Clips4Sale+, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages, under any legal theory, arising out of or in connection with your use, or inability to use, the Platform, any websites linked to it, any content on the Platform or those other websites or any services or items obtained through the Platform or those other websites, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.
24.2. To the extent provided by law, in no event will Clips4Sale+, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for any actions, omissions, or Content provided by any nonparty, including other Users, external service providers, or linked websites. This includes disputes, claims, or damages arising from interactions or transactions between Users that occur outside of the Platform but are related to its use.
24.3. To the extent provided by law, in no event will the collective liability of Clips4Sale+ and its subsidiaries and affiliates, and their licensors, service providers, employees, agents, officers, and directors, to any party (regardless of the form of action, whether in contract, tort, or otherwise) exceed the greater of US$250 and the amount we have earned through your use of the Platform.
24.4. The above limitations of liability do not apply to liability resulting from our gross negligence or willful misconduct.
25.1. No Waiver of Statutory Rights. Nothing in these Terms of service, including the above disclaimers and limitations of liability, excludes or limits any rights that cannot be excluded or limited under applicable law.
25.2. EU Consumer Rights. If you are an EU consumer, mandatory consumer-protection laws may grant you additional rights and remedies. This includes your right to seek redress for defective products or non-conforming digital services. Nothing in these terms of service will exclude or limit liability for (1) death or personal injury caused by our negligence, (2) our willful misconduct or gross negligence, (3) any implied conditions relating to title or conformity of digital content, or (4) any other matter that cannot be excluded or limited under EU consumer law.
25.3. EU Business Users (P2B Regulation). If you are an EU business user, these disclaimers and limitations do not limit our obligations or your rights under the EU Platform-to-Business Regulation, including our duty to offer an internal complaint-handling system and mediation in good faith.
25.4. EU DSA Obligations. These disclaimers and limitations of liability do not affect our obligations under the EU DSA, including any notice-and-action procedures and user redress mechanisms for content moderation decisions.
You shall indemnify Clips4Sale+, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of service or your use of the Platform, including, but not limited to, your Content, any use of the Platform’s content, services, and products other than as expressly authorized in these Terms of service, or your use of any information obtained from the Platform.
27.1. From time to time, you may be offered the opportunity to access third-party services through the Platform, including without limitation (each, a “Third-Party Service”). Your participation in a Third-Party Service is optional. If you choose to opt in, we may share certain account information, such as your email address, account credentials, and payment token, with the Third-Party Service solely to create or enable your account and to facilitate transactions. The categories of information that may be shared, and the purposes for which it may be used, are described in our Privacy Policy.
27.2. Independent Services. Third-Party Services are operated by independent providers that are not controlled by Clips4Sale. Your use of any Third-Party Service will be subject to that provider’s terms of service and privacy policy. We are not responsible for, and disclaim all liability arising from, your use of any Third-Party Service.
27.3. No Obligation. Access to any Third-Party Service is entirely optional. If you do not opt in, we will not share your account information for this purpose.
28.1. The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement of it) are owned by Clips4Sale+, its licensors, or other providers of that material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
28.2. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as follows:
28.3. You must not:
28.4. If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Platform in breach of these terms of service, your right to use the Platform will terminate immediately and you must, at our option, return or destroy any copies of the materials you have made. No interest in the Platform or any content on the Platform is transferred to you, and Clips4Sale+ reserves all rights not granted. Any use of the Platform not permitted by these terms of service is a breach of these terms of service and may violate copyright, trademark, or other applicable laws.
29.1. The Tropical Sun name, the terms IMAGES4SALE, VIDEOS4SALE, MY CLIP STORE, 4CLIP, 4CLIPS, C4, CLIP4, CLIPS4, C4S.COM, C4S, CLIPS4SALE, C4S+, CLIPS4SALE+, CLIPS4SALE+.COM, CLIPS4SALEPLUS.COM and CLIPS4SALE.COM, and all related names, logos, product and service names, designs, and slogans are trademarks of Clips4Sale or its affiliates or licensors. You must not use those marks without Clips4Sale’s prior written permission. All other names, logos, product and service names, designs, and slogans on this Platform are the trademarks of their respective owners.
30.1. You may use the Platform only for lawful purposes and in accordance with these Terms of service (including our Acceptable Use Policy, Content Rules, NCC Policy, and CSAM Policy). You must not use the Platform:
30.2. Additionally, you must not:
31.1.1. If you live in the United States, Canada and Latin America, Delaware law governs all adversarial proceedings arising out of these terms of service or your access or use of the Platform.
31.1.2. If you live in any other country excepts those which are mentioned in clause 31.1.1 hereto, Cyprus law governs all adversarial proceedings arising out of these terms of service or your access or use of the Platform. Despite the preceding, if you reside in the European Union or if you are an EU-based business user, you also retain any rights arising from mandatory consumer-protection laws and other applicable EU legislation.
Each party acknowledges that (1) breach by either party of that party’s obligations under these terms of service has the potential to cause irreparable harm for which damages would be an inadequate remedy and (2) if any such breach occurs or is threatened and might cause irreparable harm, each party would want a court to grant the other party an injunction, a restraining order, or any other equitable remedy, in each case without posting a bond or other security and without proof of actual damages.
31.3.1. Mandatory Arbitration. You and Clips4Sale+ are agreeing to give up any rights to litigate claims in a court or before a jury, or to participate in a class action or representative action regarding a claim. Other rights that you would have if you went to court might also be unavailable or might be limited in arbitration.
31.3.2. Arbitration Forum. As the exclusive means of bringing adversarial proceedings to resolve any dispute arising out of these terms of service or your access or use of the Platform (other than any proceeding brought by a party seeking an injunction, a restraining order, or any other equitable remedy to which that party is entitled under the Equitable Remedies provision), a party may demand that the dispute be resolved by arbitration administered by the International Centre for Dispute Resolution in accordance with its international arbitration rules, which are available at https://icdr.org/rules_forms_fees. Judgment on any award rendered in any arbitration may be entered in any court having jurisdiction.
31.3.3. Arbitration Procedures. Any arbitration begun in accordance with this arbitration provision must be conducted by one arbitrator. Any arbitration begun in accordance with this arbitration provision must be conducted virtually using Zoom or a virtual meeting platform that provides similar functionality. If virtual arbitration is not possible due to technical issues, because the arbitrator is unwilling or unable to attend the arbitration virtually, or for one or more other compelling reasons, the arbitration must be conducted (1) in New York City for Users in the United States, Canada and Latin America and (2) in Cyprus for Users in all other countries. The arbitrator must not award punitive damages in addition to compensatory damages. Each party hereby waives any right to recover any such damages in any arbitration. If you prevail on any claim that affords the prevailing party attorneys’ fees, the arbitrator may award reasonable fees to you under the standards for fee shifting provided by law. We will not seek attorneys’ fees and costs in arbitration unless the arbitrator determines that your claim is frivolous. The arbitrator will have the power to rule on any challenge to its own jurisdiction or to the validity or enforceability of any portion of the Arbitration Agreement, except that the state or federal courts of New York City, New York, have the authority to determine any dispute about enforceability or validity of the class action waiver.
31.3.4. Small Claims Exception. You may elect to pursue your claim in small-claims court rather than arbitration if you provide us with written notice of your intent to do so within 60 days of the date your claim arose. The small-claims court proceeding will be limited solely to your individual dispute or controversy.
31.3.5. Class and Jury Trial Waivers. The parties intend to arbitrate solely on an individual basis, and these terms of service does not permit class arbitration or any claims brought as a plaintiff or class member in any class or representative proceeding. The arbitrator must not consolidate more than one person’s claims and must not otherwise preside over any form of a representative or class proceeding. Only individual relief is available. The parties shall sever and litigate in court any request for public injunctive relief after completing arbitration for the underlying claim and all other claims. This does not prevent either party from participating in a class-wide settlement. You and we knowingly and irrevocably waive any right to trial by jury in any action, proceeding, or counterclaim.
31.3.6. Local Mandatory Laws. Nothing in this Arbitration Agreement will limit or otherwise affect any rights you may have under the mandatory laws of your country of residence, including, but not limited to, the right to bring claims in your local courts where required by law or to access statutory remedies that cannot be waived by contract. If you are an EU business user, you retain the right to use our internal complaint-handling system and mediation process as described in our Platform to Business Regulation Terms and may opt for mediation before or instead of arbitration. If local law grants you additional rights beyond those specified in these terms of service, those rights remain unaffected by these terms.
31.3.7. Severability. If any provision of this Arbitration Agreement is found unenforceable, the unenforceable provision will be severed, and the remaining portions of the Arbitration Agreement will remain in force.
31.4.1. If either party brings a proceeding regarding the enforceability or validity of the class action waiver or seeking an injunction, a restraining order, or other equitable remedy to which that party is entitled under the Equitable Remedies provision, that party may bring that proceeding (1) only in the United States District Court for the District of Delaware or, only if there is no federal subject matter jurisdiction, in a state court of Delaware sitting in Wilmington for Users in the United States, Canada and Latin America or in (2) a court of competent jurisdiction in Cyprus for Users in all other countries.
31.4.2. Each party hereby waives any claim that any proceeding brought in accordance with this provision has been brought in an inconvenient forum or that the venue of that proceeding is improper.
In an adversarial proceeding between the parties arising out of these terms of service or your access or use of the Platform, the prevailing party will be entitled to recover from the other party, in addition to any other relief awarded, all expenses that the prevailing party incurs in those proceedings, including legal fees and expenses.
Apart from proceedings arising from a claim for indemnification, neither party may initiate adversarial proceedings to resolve any dispute arising out of these terms of service or access or use of the Platform more than one year after the date that dispute arose. If you are located in a jurisdiction where local mandatory laws provide a longer limitation period, those mandatory laws will apply instead of the one-year limitation set out in the preceding sentence.
31.7.1. No waiver of any provision of these terms of service will be effective unless it is in writing and signed by the party granting the waiver. No failure or delay in exercising any right or remedy under these terms of service will operate as a waiver of that right or remedy. A waiver granted on one occasion will not operate as a waiver on future occasions.
31.7.2. If any provision of these terms of service is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, that provision will be eliminated or limited to the minimum extent so that the remaining provisions of these terms of service will continue in full effect.
These Terms of service constitute the entire understanding between the parties regarding these terms of service or your access or use of the Platform. You acknowledge that because you have not relied on, and will not be relying on, any statements made by Clips4Sale+ arising out of these terms of service or your access or use of the Platform, you will have no basis for bringing any claim for fraud in connection with any such statements.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
If you provide suggestions, ideas, feedback, or recommendations regarding the Platform, you grant us a perpetual, irrevocable, royalty-free, worldwide right to use, modify, and incorporate such feedback without compensation or attribution.
